1. Agreement to Terms

By accessing or using the services provided by NuoXin Electronics Trust (Gangu NuoXin Electronic Technology Co., Ltd.), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

NuoXin Electronics Trust provides professional computer systems design and integrated solutions, including but not limited to:

• Computer systems design and architecture
• Computer integrated systems design
• Technical consulting services
• System implementation and support

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and designs, are owned by NuoXin Electronics Trust or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

5. Service Agreements and Contracts

Specific services provided by NuoXin Electronics Trust may be subject to separate written agreements or contracts. In the event of any conflict between these Terms and a separate written agreement, the terms of the separate agreement shall prevail.

6. Fees and Payment

Fees for our services will be specified in separate service agreements or quotations. Payment terms, methods, and schedules will be outlined in the applicable service agreement. All fees are exclusive of applicable taxes unless otherwise stated.

7. Confidentiality

We understand that in the course of providing our services, we may have access to confidential information. We agree to maintain the confidentiality of such information and use it only for the purpose of providing our services. Both parties agree to protect confidential information in accordance with applicable laws and industry standards.

8. Warranties and Disclaimers

We strive to provide high-quality services, but we make no warranties or representations about the accuracy, reliability, or completeness of our services. Our services are provided "as is" and "as available" without warranties of any kind, either express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, NuoXin Electronics Trust shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

10. Indemnification

You agree to indemnify, defend, and hold harmless NuoXin Electronics Trust and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms.

11. Term and Termination

These Terms remain in effect while you use our services. We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Tianshui City, Gansu Province, China.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use our services after revisions become effective, you agree to be bound by the revised terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

15. Entire Agreement

These Terms, together with any separate service agreements, constitute the entire agreement between you and NuoXin Electronics Trust regarding the use of our services and supersede all prior agreements and understandings.
